A special meeting of the Town Commission of the Town of Melbourne Beach, Florida was called to order by
Mayor Crispen at 7:01 p.m. on Monday, December 16, 2002 in the Community Center. Mayor Crispen also led
the Pledge of Allegiance to the Flag.

I. DISCUSSION AND POSSIBLE ACTION REGARDING A SERVICE AGREEMENT BETWEEN THE TOWN OF
MELBOURNE BEACH AND LINDA LOIZZO.
Mayor Crispen stated that Vice Mayor Smith and Commissioner Walters called for this meeting and asked Vice
Mayor Smith to give some background on the agenda item. Vice Mayor Smith stated that we had received a
copy of a contract prepared by Town Attorney Gougelman with blank areas in the contract that needed to be
discussed and filled and that it would be better to discuss the agreement prior to the regular meeting, and if
need be, it could be put on the agenda again Wednesday to finish up the agreement. Vice Mayor Smith stated
that the day after she called the special meeting, we received an agreement back from Linda Loizzo and that
she had made several changes to the agreement. Vice Mayor Smith stated that she understands that the
agreement that the Town Attorney prepared was presented to Ms. Loizzo and she did not accept the agreement
and sent back what she would like to have in the agreement. Vice Mayor Smith stated that she was dismayed
because the agreement we received back was pretty much like the first contract the Town Commission looked
at, plus additions. Vice Mayor Smith stated that she is not sure where the Town Commission should go from
here because there are a lot of things she does not agree with in the agreement. Vice Mayor Smith stated that
if the agreement had been kept within our budget and our policies and procedures we would not be discussing
it because the Town Manager hires and fires the Chief of Police. Vice Mayor Smith stated that we went from
a verbal agreement, which fit within the budget and followed our policies and procedures, then we went to a
written contract with a salary increase from $51,000 to $55,000 and now the agreement has a salary of $61,500.
Town Attorney Gougelman requested to give an historical perspective as to what has transpired between the
time the Town Commission had last met regarding the agreement up to this evening. Town Attorney Gougelman
stated that he was not in attendance at last meeting when the agreement was discussed and stated that he felt
a contract is not necessarily a bad thing and in order for it to work, it has to be a win-win for both parties. Town
Attorney Gougelman stated that he received instructions from the Town Manager that the Town Commission
wanted to see a contract that was similar in nature to his contract. Town Attorney Gougelman stated that he
and the Town Manager met with Linda Loizzo and her husband a week ago Friday evening and discussed core
issues that they did not think would be something acceptable in this community. Town Attorney Gougelman
stated that the biggest issue was to be able to terminate someone without cause in exchange for a severance
package. Town Attorney Gougelman stated that he suggested that Linda Loizzo take the contract he prepared
and mull it over and come back with any modifications she would like in the form of underscores and strike-throughs.
Town Attorney Gougelman stated that what came back was so much different from the Town Manager’s contract
that the Town Manager thought it best presented to the Town Commission, along with other critical issues they
could not reach a consensus on. Town Attorney Gougelman suggested that it is important that the Town
Commission make a decision this evening on where the Town wants to go with this person because contract
negotiations tend to fall apart if they are drawn out.
Town Manager Hoskovec added that Linda Loizzo is the candidate we would like to have for the position if the
Town can negotiate it and come to some type of agreement. Town Manager Hoskovec stated that he did not
give a recommendation as there are strong differences of opinion regarding the contract.
Mayor Crispen suggested that the Town Commission open the floor to public comment, bring it back to the
Town Commission to discuss issues, invite Ms. Loizzo up to answer questions, and bring it back to Town
Commission for possible action.
Commissioner Walters stated that Commissioner Price made a motion to send the original contract to the Town
Attorney and Town Manager and to come back with a negotiated contract and he said to keep in mind what
everyone has said regarding the agreement. Commissioner Walters stated that the Town Attorney has
prepared the contract and negotiated and Ms. Loizzo sent us back the same agreement as previously
submitted. Commissioner Walters stated that he does not want to negotiate every single benefit in the
agreement.
COMMISSIONER WALTERS MOVED TO TABLE THE ITEM UNTIL THEY CAN NEGOTIATE A CONTRACT
AND BRING IT BACK WITH A RECOMMENDATION FROM THE TOWN MANAGER.
THE MOTION DIES FOR LACK OF A SECOND.
Commissioner Price stated that he too thinks the Commission should have a staff recommendation as it might
be unwieldy that the Town Commission try to negotiate a contract. Commissioner Price stated that staff has
to make it clear that the Town is limited by a budget and cannot legally enter into an agreement if it is excessive.
Commissioner Price stated that he does not think the contract can be approved without going through it
page-by-page and that staff should work out the details in the contract and the candidate has to understand
there are perimeters and a benefits package here in Town.
Mayor Crispen asked if the contract is beyond the budget as it is his understanding that the one (1) item is out
of budget constraints is the salary amount? Town Manager Hoskovec stated that the health insurance clause is,
but, Ms. Loizzo is not concerned about the vast majority of the contract, her biggest concern is the “no cause”
termination clause. Town Manager Hoskovec asked that Ms. Loizzo address the Town Commission.
Vice Mayor Smith asked Town Attorney Gougelman if the Town Manager is referring to the termination without
cause clause? Town Attorney Gougelman stated that he believes this is as this was a key discussion.
Linda Loizzo, 1665 Highway A1A, Satellite Beach came forward with her Attorney Steve Kronick of
375 Millano Lane, #205, Melbourne and advised that he has not had the opportunity to review the contract.
Ms. Loizzo stated that on August 21, 2002 she had full intentions of coming on board and explained that her
own trainers came up and performed training sessions with the Police Department, updated departmental
manuals and procedures and that she made some personnel changes in staffing to help accomplish these
administrative tasks. Ms. Loizzo reviewed her accomplishments in the department over the past couple of
months. Ms. Loizzo stated that she believes she has brought professionalism to the department and to the
Town.
Ms. Loizzo stated that she needs a contract because of the political volatility and also Commissioner Walters
had suggested that she request a three (3) year contract because he never wanted to see anything happen to
the Police Chief that happened to him. Ms. Loizzo stated that she can be recruited to be the Chief of North
Miami Beach, but, came here because she loves the Town and likes the officers. Ms. Loizzo stated that
the salary of $55,000 is okay. Ms. Loizzo stated that she has a serious matter that concerns her and that
is that she has an impeccable reputation in the law enforcement community and, that she cannot be accused
of doing things inappropriately because she received notification that an accusation was made against her as
the consulting, Acting Chief by Commissioner Walters.
Ms. Loizzo stated that her integrity and reputation are the most important assets she brings to this Town and
no one is going to take these away. Ms. Loizzo stated that she cannot have a “without cause” clause because
that it is not an agreement to her. Ms. Loizzo stated that she wants an agreement that ensures that she can
bring to the officers stability and that they know she can continue to serve the officers and do what is best for
them without any interference, and, that she will report to the Town Manager.
Mayor Crispen asked Ms. Loizzo to answer questions of the Town Commission.
Commissioner Walters, stated that on August 8, 2002 the Commission received an e-mail from the Town
Manager advising that Ms. Loizzo had been made an offer and on August 12, 2002 he wrote that he believed
$51,000, plus generous benefits is more than reasonable and that he hopes that we are not hit with more,
more, as soon as she gets settled in and that is especially true if other well-qualified applicants were willing
to take less. Commissioner Walters stated that he did ask the Town Manager some questions about a legal
bill the Town received regarding an officer, which the Charter allows him to inquire and investigate if he so
chooses. Commissioner Walters asked Ms. Loizzo that when she was hired on August 12, 2002 what was
she told would be her pay and benefits? Ms. Loizzo responded that this is a convoluted question as we have
had these conversations before and that she initially told the Town Manager the minimum pay she would be
willing to work for is 55,000 and the Town Manager told her that she would be making more money than he is.
Ms. Loizzo stated that she discovered that the Senior Sergeant was making more than that and advised that
she cannot accept the position unless she is making more than the Senior Sergeant because it is inappropriate
for a department head, who assumes the liability and responsibility, to make less than someone in their employ.
Ms. Loizzo added that the Town Manager offered and she accepted $55,000 with PPO coverage for her family,
a vehicle and the use of a cell phone.
Commissioner Walters stated that he made no allegations against Ms. Loizzo and asked her to what allegations
he made? Ms. Loizzo stated that the Florida Department of Law Enforcement notified her that he made allegations
against her and that she has spoken to them personally. Commissioner Walters stated that he made no
allegations and advised that a resident asked at the last meeting, if Ms. Loizzo is the consultant or the Police
Chief and the Mayor said you were never employed, the Manager said you were a consultant and a former
employee made the allegation and called the Florida Department of Law Enforcement and the Florida Department
of Law Enforcement called him and he asked if she was registered here or not. Commissioner Walters stated
that he called that resident and advised that she was never the Police Chief here, but he asked the Town
Manager this questions first and he never responded.
Mayor Crispen asked Ms. Loizzo what made her believe that it was Commissioner Walters who made the
accusation? Ms. Loizzo stated that she contacted Robin Davis, who is in charge of the local office of the
Florida Department of Law Enforcement and she advised that Commissioner Walters had given her a host
of accusations and that she had personally spoken with him.
Mayor Crispen verified with Ms. Loizzo that if the Town Commission does not agree to the provision in the
contract that would only allow her to be dismissed or terminated for cause, everything else is moot. Ms.
Loizzo stated that this is correct and stated that she is negotiable on anything else in the contract. Mayor
Crispen advised that the Town Commission focus on this provision in the contract which addresses the
termination without cause.
Commissioner Price asked Town Manager Hoskovec if this “termination without cause” is in his contract and
he responded that it is. Commissioner Price asked if this “termination without cause” affects any other employee
of the Town? Commissioner Price was advised that this is also in the Town Attorney’s contract. Commissioner
Price asked why this clause is in the Police Chief’s contract? Town Attorney Gougelman responded that he
was advised by the Town Manager that the Town Commission was desirous of an agreement modeled after his.
COMMISSIONER PRICE MOVED, SECOND COMMISSIONER WILSON THAT A CONTRACT BE DRAWN UP
THAT OMITS THE TERMINATION WITHOUT CAUSE CLAUSE AND TREATS THE POLICE CHIEF AS OTHER
EMPLOYEES OF THE TOWN, WITH THE EXCEPTION OF THE TOWN ATTORNEY AND TOWN MANAGER.
VOTE AFTER DISCUSSION: MAYOR CRISPEN, AYE. COMMISSIONER PRICE, AYE. COMMISSIONER
WILSON, AYE. VICE MAYOR SMITH, NAY. COMMISSIONER WALTERS, NAY. MOTION CARRIED.
After a discussion, Ms. Loizzo stated that she is asking for an agreement for protection so that she can do
her job and the only item in the agreement that she is not flexible on is the same protection for her job as other
department heads have.
Commissioner Price stated that the motion has to do with going back and taking out the “termination without
cause” and did not deal with other protections the Town Attorney will put into the contract to protect the Town.
Vice Mayor Smith stated that she has problems with eliminating this clause because this is not the same as
any other employees because no other department head has a contract, other than the Town Manager.
Vice Mayor Smith advised that the Town Commission used the “termination without cause” on a Town
Manager and they received severance pay and the way this is written, if she is terminated with cause she
will receive severance pay. Vice Mayor Smith stated that if it is proven, you get no severance pay for
termination with cause. Vice Mayor Smith stated that she is against taking this clause out of the agreement
because this is an entirely different situation and she hates the fact that this agreement had to come this
far because the Town Commission does not hire or fire the Chief of Police, it is up to the Town Manager and
we should not have to be involved here. Vice Mayor Smith stated that she is not willing to take out of this
agreement what is protection for the Town.
Commissioner Wilson asked Ms. Loizzo if this clause were deleted from the contract, would she be willing
to accept the terms laid out in the contract prepared by the Town Attorney? Ms. Loizzo stated that she
would have to revisit the contract and would not want to go outside of the constraints of the budget.
Commissioner Wilson asked Ms. Loizzo if she could get an answer by Wednesday, whether or not she
would accept the Town Attorney’s contract, as written, if this (referring to the contract included in the agenda
packet) is the latest? Ms. Loizzo replied, yes sir.
Mayor Crispen stated that he was prepared to argue for this contract and that he does not understand why anyone
would put in an agreement to any employee, who you have interviewed, completed a background check on,
re-interviewed and decided this is the candidate you want in our Town and then you draw up a contract that says
that the Town can fire you for no cause at all. Mayor Crispen stated that he would never work under those conditions.
Commissioner Walters stated that all Police Officers are on probation for one (1) year and can be terminated
without legal recourse and this will protect her if this happened as she will receive severance pay and asked
Town Attorney Gougelman if his understanding is correct? Town Attorney Gougelman stated that there is no
probationary work period for a Police Chief and the basis for terminating the Police Chief is basically without
cause and the Town will have to pay the severance clause or if you terminate with cause, it can only be in
keeping with the Florida Statutes, for malfeasance, misfeasance, incompetence, inability to perform the
functions of the job, and habitual drunkenness or the such.
Mayor Crispen asked that if the Town Manager decides in a couple of months that, “you are not meeting our
expectations”, could be construed as cause? Town Attorney Gougelman stated, that it could not.
Commissioner Price stated that he sees this as an attempt to recruit a professional employee to a professional
position and ask them to sign a resignation letter and that he thinks we can insist upon this, but we will not get
the best person for the job. Commissioner Price stated that there are some risks in everything we do and when
anybody is charged with hiring a professional person, they have every opportunity to make a decision based on
all information gathered. If a person is grossly misinformed about their choice, they have to make hard decisions
which are sometimes very costly. Commissioner Price stated you just don’t get a resignation letter when you
hire someone.
Commissioner Price called the question for a vote on the motion. Town Attorney Gougelman stated that if
somebody wishes to cut off debate and take up a question, you will need a motion, a second and a two-thirds
vote.
Mayor Crispen asked for a motion to cut off debate and public comment on this issue. There was no motion
made to this effect.
Mayor Crispen stated that at this time, he will open the meeting to public comment.
Lieutenant Haran commented that his base salary is a little over $49,000, with 10 holiday pays at approximately
$2,400 so his total salary package is approximately $54,000. Lieutenant Haran stated that he is 1,000 percent
behind the selection of Linda Loizzo as Police Chief and that he would support anybody who holds that office.
Jim Simmons, Avenue 409 Avenue B commented about the termination with and without cause and recommended
that the Town Commission include in the agreement both terms and list the conditions of what termination “with
cause” are and what termination “without cause” are.
Michael Fiffidio, 205 Second Avenue and commented that he has 37 years in law enforcement and stated that
this is out of hand and he has never heard of a contract that does not say with “just” cause. Mr. Fiffidio stated
that the Police Chief has to be insulated from the politics.
Fred Remark, 707 Atlantic Street commented that everybody likes Linda and she is more qualified, has more
education and experience, and better management and people skills than anyone we have ever had and if we
lose her, it is a mistake on everybody’s part.
Jason Steele, 701 Pine Street commented that this is a public safety issue here and there are terrorism
issues out there and asked that the Town stop arguing about this.
Tony Loizzo, 1665 Highway A1A, Satellite Beach commented that when Linda was initially interviewed and
accepted this job, it was one of the happiest days of their lives, she was full of enthusiasm, and the only
constant thing in her life over that past 30 years has been her job.
Mr. Loizzo commented that it took a lot for her to come here for a terrific pay cut, but she wants to come
here to live and work in this community. Mr. Loizzo commented that originally a contract was not an issue,
but, as things evolved and the Town Manager’s job was threatened, there was a new Commission, and, it
was not a good time to become an employee. Mr. Loizzo commented that if the Town were trying to compete
in an open market, it could not afford Linda Loizzo as the Police Chief.
Collin Campbell, 514 Avenue A commented that he is a school teacher, and discussed the type of contract he
has and suggested that if this provision needs to be kept in the agreement, increase the severance pay or limit
the time window to fire without cause.
Ron Gallie, 318 Third Avenue commented that of all of the Police Chief’s in Brevard County, none of them have
a contract and asked if they are subject to being terminated without cause? Town Attorney Gougelman stated
that he is not familiar with other communities personnel policies and would have to be to know the answer.
Mr. Gallie commented that it seems a contract would be protection if it can be worked out properly.
Mayor Crispen opened the meeting for comments from the Town Commission.
Commissioner Walters stated that the Town Charter allows any Commissioner to inquire and to investigate if
they receive a complaint. Commissioner Walters stated that Linda Loizzo was hired on August 8th and he
welcomed her and she invited him to be in charge of her auxiliary program. Commissioner Walters stated that
every time a Commissioner starts asking questions, the same group of people come forward and comment that
“it is negative, it is not positive”. Commissioner Walters stated that the questions he presented was, “why,
after so many months, we have we come back after four (4) months and we have to have a contract, and, if
we have to have a contract is it really necessary to have all of these benefits?” Commissioner Walters stated
that as for the Florida Department of Law Enforcement, he did not make any allegations, he just asked a
question. Commissioner Walters stated that a resident asked him if Ms. Loizzo was a reserve officer, a
consultant, or the Police Chief because she received three (3) separate answers. Commissioner Walters
stated that the Florida Department of Law Enforcement determined that she is not registered, therefore,
she was never the Police Chief. Commissioner Walters stated that in the future, if a resident comes to
him with a question, he will inquire and find out an answer.
Commissioner Wilson asked Ms. Loizzo if she is willing to leave in a “no cause” clause with a larger payout?
Would this be a solution? Ms. Loizzo stated that she wants to be a Police Chief, not a politician, does not
want a City Manager’s contract to be fired without cause, will not be on probation and will not leave a job
with 29 years in order to take a termination contract as it is not a dollar issue.
Vice Mayor Smith stated that her basis for wanting to leave this clause in the contract is because that is
what our Town Attorney put in the contract, and, this clause has always been in our contracts. Vice Mayor
Smith stated that it upsets her that we even have to have a contract because this should be under the Town
Manager and we should not have anything to do with the Chief of Police as this position works for Town Manager,
he hires and fires and the Town Commission stays out of it. Vice Mayor Smith stated that she feels this
clause needs to be in the contract and asked Town Attorney Gougelman if he still recommends this clause
in the contract?
Town Attorney Gougelman responded that when we were having negotiations with Linda Loizzo, he commented
to Linda that if we strike that provision out, why do we need a contract? Town Attorney Gougelman stated that
at that point, Linda indicated that she wanted a management contract, that she is tenured with her department,
has a long carrier, and it is hard to find anybody who is as well qualified as she is. Town Attorney Gougelman
stated that Linda had been advised by a Commissioner to get a contract. Town Attorney Gougelman stated
that this is the price the Town has to pay to get this particular candidate. Town Attorney Gougelman stated
that the question at this point is, are you willing to accept her counter offer? Town Attorney Gougelman stated
that this clause is also in the contract because he was advised that the Town Commission wanted to see a
contract similar to the Town Manager’s contract. Town Attorney Gougelman stated that what Ms. Loizzo is
saying is that she will accept the lower pay, lower than what she’s making, the sole question is whether or
not you are going to strike that “without cause” provision.
Town Attorney Gougelman stated that he recommends the clause in a contract because two and one-half
years from now when all Commissioners have been replaced and the Town politics is going in a different
direction and the Town Manager and Town Attorney have been fired, and someone figures out that whatever
the problem is, it is also due to the Police Chief and everybody in Town says, “we don’t want her” and the
new Commission will go to the Town Manager and pressure the Town Manager to fire the Police Chief,
and you will have a lawsuit on your hands. Town Attorney Gougelman stated that he will always recommend
the conservative approach. Town Attorney Gougelman stated that the question is, “do you want this candidate?”
Mayor Crispen stated that to him, this vote is whether or not we want Linda Loizzo or not because she has
told everyone that if we vote this motion down, we have lost her. Mayor Crispen stated that he believes her,
she’s a credible person, it’s not about this clause or that clause, it’s about, do we want Linda Loizzo to be our
Police Chief or not? Is she qualified? Do we want her? Does she meet all of the criteria we have established
for the Police Chief? Mayor Crispen stated that he thinks most people would think, yes she has, and he just
wants to remind the Commissioners before they vote, that this is, could conceivably be the death nail of our
relationship with Linda Loizzo and to keep that in mind as they vote.
Vice Mayor Smith and Commissioner Walters objected to Mayor Crispen’s comments. Commissioner Walters
stated that under Resolution Number 702, he would like to poll the Commission and speak on what Mayor
Crispen just said. Mayor Crispen stated that Commissioner Price has been recognized and asked Commissioner
Walters to speak in turn and only when recognized.
Commissioner Price stated that we have just had a recommendation from staff to keep this clause, which he
personally finds not acceptable, in the contract and is recommended given past experience and given the
political nature of what we do.
Mayor Crispen asked Town Attorney Gougelman if there is an obligation on the Commission’s part to always
vote with his recommendations? Town Attorney Gougelman replied, “absolutely not.”
Commissioner Walters stated that this is not a vote on Linda Loizzo, we all want Linda Loizzo. The question is,
do we want a contract and if so is it this one or the one she presented with the additional benefits? Commissioner
Walters stated that she has said that even if we take this clause out, there is no guarantee she will accept the
contract. Mayor Crispen stated that this is correct, there is no guarantee.
COMMISSIONER WILSON MOVED, SECOND VICE MAYOR SMITH TO EXTEND THE MEETING FOR
ONE (1) HOUR.
VOTE: ALL AYES. MOTION CARRIED.
At 9:00 p.m., Mayor Crispen called for a five (5) minute recess.
Mayor Crispen called the meeting back to order 9:14 p.m.
Mayor Crispen stated that the Town Commission will discuss other issues in the contract and it will be helpful
if Linda Loizzo restates the issues of the contract.
Linda Loizzo came forward and stated that the main issue and the obstacle she eluded to is the fact that she
wanted to come here with the security of knowing the Town had a position for the term and tenure of the
contract and that she is perfectly willing to work within the financial constraints of the budget and the Town’s
common practices given to the management employees to date. Ms. Loizzo stated that there are language
provisions inserted into contract, which are much more lengthy than the original contract she presented and
that the contract has not been reviewed by her attorney yet nor has he reviewed the language to be sure that
she is protected.
Tony Loizzo stated that he did most of the writing and re-drafting of the contract that he and talked with the
Town Attorney and Town Manager and there is not a lot of substance that are in question, the insurance is
probably another issue because we talked about PPO versus HMO care, and this is an issue the Town Manager
said he would look into. Mr. Loizzo stated that from talking with the Town Attorney and Manager during the
meeting break, there is nothing that we went through that we found that could not be worked out. Mr Loizzo
stated that the only dollar amount that we can talk about again is the insurance, whether it’s PPO or HMO.
Commissioner Wilson stated that the contact he is talking about is the one the Town Attorney drafted with the
deletion of that clause. Linda Loizzo stated that there are no changes that require the Town to go outside the
parameters of the budget, but, there are certain issues that need to be finalize such as the blanks filled in for the
travel budget. Ms. Loizzo stated that there is a disability clause that needs to be discussed and these can be
ironed out by the attorneys and Town Manager.
Commissioner Price stated that the contract we voted on tonight is the contract presented by the Town Attorney,
and omits those items we voted to have omitted. Commissioner Price stated that when the verbiage is straightened
out, it will be the contract presented by the Town Attorney, the only difference we voted on tonight is the omission
of that clause.
Vice Mayor Smith stated to Ms. Loizzo that she would stay within the confines of the budget. Ms. Loizzo stated
that this is correct. Vice Mayor Smith stated that the budget has a salary of $55,000 and they are looking at
the pay difference between the two (2) types of insurance. Town Manger Hoskovec stated that he is looking
into this and it will not cost the Town additional money.
Commissioner Walters reviewed items he has concerns with in the contract and Mr. Loizzo stated that these
items were taken out of the contract or discussed and are a non-issue.
COMMISSIONER WILSON MOVED, SECOND COMMISSIONER PRICE TO DIRECT THE TOWN ATTORNEY
AND TOWN MANAGER TO NEGOTIATE, WITHIN THE CONFINES OF THE BUDGET, SO THAT THE TOWN
COMMISSION CAN HAVE AN AGREEMENT FOR WEDNESDAY EVENING.
VOTE: ALL AYES. MOTION CARRIED.
COMMISSIONER WALTERS MOVED, SECOND COMMISSIONER WILSON THAT THE MOTION INCLUDE

After a discussion, Commissioner Walters withdrew his amendment to the motion and Commissioner Wilson
agrees to withdraw his second to the amendment.
A schedule is discussed as to the date that the Town Commission can have an agreement to review for approval.
No definite time or date is agreed upon for a final agreement to be provided for approval, but Town Attorney
Gougelman stated that he and Attorney Kronick can probably get this wrapped up by the end of the week.
II. ADJOURNMENT
COMMISSIONER WALTERS MOVED, SECOND COMMISSIONER PRICE TO ADJOURN.
VOTE: ALL AYES. MOTION CARRIED.
