A special meeting of the Town Commission of the Town of Melbourne Beach, Florida was called 
to order by Mayor Wille at 9:00 p.m. on Thursday, February 21, 2002 in the Commission Room 
at Town Hall.  Mayor Wille also led the Pledge of Allegiance.

I.      DISCUSSION AND POSSIBLE ACTION REGARDING TOWN MANAGER POSITION

Mayor Wille asked if any members of the public would like to comment on the Town Manager interviews.

Frank Thomas, 606 Atlantic Street stated that he believes that the Town Commission has done a good job on 
the interviews for Town Manager and that he would select Mr. Hoskovec for the position.

Susan Stark, 307 Fifth Avenue stated that she knows how important a decision like this is and that she has not 
been at an interview with Mr. Hoskovec, but he was at quite a few meetings and also had his name in for the 
previous vacancy on the Town Commission.  Ms. Stark stated that he knows the difficulties this Town has gone 
through and yet he still wants to serve as our Town Manager, which says a lot because he has a lot of inside 
information on the direction this Town is going.  Ms. Stark stated that she has an unsettling feeling regarding 
Michael Brillhart's calmness.  Ms. Stark complimented the Town Commission on their comments and discussion 
during the interview process.

Mayor Wille closed comments from the public.

Mayor Wille asked how the Town Commission would like to proceed with the Town Manager selection?  
It is recommended that the Commission members write down their preference for Town Manager.  (copies attached).  
It is announced that William M. Hoskovec was selected as the first choice by three (3) of the five (5) Commissioners 
for the position of Town Manager and Michael L. Brillhart was selected as the first choice by two (2) of the five (5) 
Commissioners for the position of Town Manager.

Mayor Wille requested to pass the gavel to Vice Mayor Smith to allow him to make a motion.

MAYOR WILLE MOVED, SECOND COMMISSIONER GUGLIETTA THAT THE TOWN COMMISSION OFFER THE 
TOWN MANAGER POSITION TO WILLIAM M. HOSKOVEC BY MOTION OF ACCLAMATION OF THE TOWN 
COMMISSION.  
VOTE:  ALL AYES.  MOTION CARRIED.

Mayor Wille stated that the Town Commission needs to discuss guidelines for negotiating a contract with 
Mr. Hoskovec and what type of background check the Town Commission would like done.

Mayor Wille suggested that the Town Attorney be designated as the person to negotiate the contract with 
Mr. Hoskovec.  All members of the Town Commission agree to the Town Attorney negotiating the contract.

The Town Commission reviewed previous employment agreements provided by the Town for Town Managers and 
discussed items to be negotiated by the Town Attorney for an agreement between the Town and William M. Hoskovec.  
•       Salary: $53,000;
•       Salary Increases:  Annual increase in salary of 3%;
•       Term of Agreement: 3 years, and include some type of clause stating, "with an automatic renewal unless 
         someone takes a proactive action to discuss otherwise";
•       Performance Evaluations:  To be completed by each Town Commissioner at 3 months, 6 months, one year 
        and annually thereafter;
•       Severance Payment:  90 days, plus 1-month severance for every year of service with a cap of 12 months 
        severance.  If agreement is terminated by the Town Commission for any reason, without prior notice and without 
        cause by providing written notice to the Manager.  No severance payment is provided if Town Manager terminates 
        agreement or is terminated by the Town Commission for cause;
•       Paid Holidays:  11 per year as outlined in Chapter 12 of the Policies and Administrative Procedures Manual;
•       Annual Leave:  As outlined in Chapter 13 of the Policies and Administrative Procedures Manual.  Except that 
        for the first year of employment, can accrue vacation time, but cannot use;
•       Sick Leave:  Same as outlined in Chapter 14 of the Policies and Administrative Procedures Manual;
•       Health and Life Insurance:  Same as regular Town employees; 
•       Retirement:  Town will contribute 5% of annual salary into Town employee's existing retirement plan or 5% 
        into the ICMA Deferred Compensation Plan;
•       Automobile/Travel:  For attendance at meetings, may claim mileage allowance per Florida Statutes; and
•       Cell Phone:  a cellular device will be provided by the Town.

The Town Commission reviewed information provided regarding background investigations and
requested that Cliff King and Associates perform a background investigation for a fee of $250.  The Town 
Commission discussed other types of investigations and decided to request a criminal background check, 
a driver's license check and a previous employer's check. 

COMMISSIONER WALTERS MOVED, SECOND COMMISSIONER GUGLIETTA TO APPROVE THE OFFER OF 
EMPLOYMENT TO WILLIAM M. HOSKOVEC AS FOLLOWS: SALARY: $53,000; SALARY INCREASES:  
ANNUAL INCREASE IN SALARY OF 3%; TERM OF AGREEMENT: 3 YEARS, AND INCLUDE SOME TYPE 
OF CLAUSE, "WITH AN AUTOMATIC RENEWAL UNLESS SOMEONE TAKES A PROACTIVE ACTION TO 
DISCUSS OTHERWISE"; PERFORMANCE EVALUATIONS:  TO BE COMPLETED BY EACH TOWN 
COMMISSIONER AT 3 MONTHS, 6 MONTHS, ONE YEAR AND ANNUALLY THEREAFTER; SEVERANCE 
PAYMENT: 90 DAYS, PLUS 1 MONTH SEVERANCE FOR EVERY YEAR OF SERVICE WITH A CAP OF 
12 MONTHS' SEVERANCE.  IF AGREEMENT IS TERMINATED BY THE TOWN COMMISSION FOR ANY 
REASON, WITHOUT PRIOR NOTICE AND WITHOUT CAUSE BY PROVIDING WRITTEN NOTICE TO THE 
MANAGER.  NO SEVERANCE PAYMENT IS PROVIDED IF TOWN MANAGER TERMINATES AGREEMENT 
OR IS TERMINATED BY THE TOWN COMMISSION FOR CAUSE; PAID HOLIDAYS:  11 PER YEAR AS OUTLINED 
IN CHAPTER 12 OF THE POLICIES AND ADMINISTRATIVE PROCEDURES MANUAL; ANNUAL LEAVE:  AS 
OUTLINED IN CHAPTER 13 OF THE POLICIES AND ADMINISTRATIVE PROCEDURES MANUAL, EXCEPT THAT 
FOR THE FIRST YEAR OF EMPLOYMENT, CAN ACCRUE VACATION TIME, BUT CANNOT USE; SICK LEAVE:  
SAME AS OUTLINED IN CHAPTER 14 OF THE POLICIES AND ADMINISTRATIVE PROCEDURES MANUAL; 
HEALTH AND LIFE INSURANCE:  SAME AS REGULAR TOWN EMPLOYEES; RETIREMENT:  TOWN WILL 
CONTRIBUTE  5% OF ANNUAL SALARY INTO TOWN EMPLOYEE'S EXISTING RETIREMENT PLAN OR 5% 
INTO THE ICMA DEFERRED COMPENSATION PLAN; AUTOMOBILE/TRAVEL:  FOR ATTENDANCE AT 
MEETINGS, MAY CLAIM MILEAGE ALLOWANCE PER FLORIDA STATUTES; AND CELL PHONE: A CELLULAR 
DEVICE WILL BE PROVIDED BY THE TOWN AND DIRECT THE TOWN ATTORNEY TO NEGOTIATE THE OFFER 
AND EMPLOYMENT AGREEMENT TO MR. WILLIAM M. HOSKOVEC.  
VOTE:  ALL AYES.  MOTION CARRIED.

VICE MAYOR SMITH MOVED, SECOND COMMISSIONER CRISPEN TO ADJOURN.  
VOTE:  ALL AYES.  MOTION CARRIED.


The special meeting of the Town Commission of the Town of Melbourne Beach, Florida adjourned at 10:05 p.m.
